COPYRIGHT

The entire copyright of all content is retained universally by VIDEO RAMS LONDON at all times and is released to the client upon full payment & completion of the contracted work for shared copyrights between both parties.

LICENCE TO USE

Third parties must gain permission from both VIDEO RAMS LONDON & the client before usage of any images and must obtain a usage licence. Permission to use images is required for all media outlets, editorial publications and print applications. Once a licence has been obtained, all images are to be credited to VIDEO RAMS LONDON.

PUBLICITY GUIDELINES

The client grants VIDEO RAMS LONDON exclusive license to all images & media produced during the course of the contracted work and VIDEO RAMS LONDON is therefore free to use the content for advertising purposes through marketing, internet, social media, case studies and any other platforms to help promote and boost reach.

CONFIDENTIALITY

If the contracted work contains confidential content and the client wishes for the images & media to remain private, VIDEO RAMS LONDON will agreeably adhere to full privacy at the client’s request. For confirmation of confidentiality, VIDEO RAMS LONDON request that the client provides a written request for image & media confidentiality at the earliest convenience of the contracted works.

PAYMENT

The client has two options of payment...

OPTION 1: Installments - The client can pay a 50% deposit to VIDEO RAMS LONDON upon agreement of the quotation provided with payment required as soon as possible to secure the booking.

The final 50% payment is required within 7 days of the content delivery to the client.

Failure to provide the full payment of the contracted works will result in VIDEO RAMS LONDON remaining sole ownership of all content created until full/complete payment is made.

OPTION 2: Full Payment - The client can make full payment to VIDEO RAMS LONDON upon agreement of the quotation provided with payment required as soon as possible to secure the booking.

Payment Method - All payments can be made via bank transfer as shown on invoice.

CANCELLATION & POSTPONEMENT

A booking is considered secured once full payment or 50% deposit is made from the client to VIDEO RAMS LONDON.

• If cancellation is initiated by VIDEO RAMS LONDON, fees to date will be refunded.
• If cancellation is initiated by the client, fees to date are non-refundable.
• If postponement is initiated by VIDEO RAMS LONDON, fees to date will be refunded if requested by the client.
• If postponement is initiated by the client, notification must be within 7 days of the agreed filming date between both VIDEO RAMS LONDON & the client.
• If cancellation/postponement is initiated due to bad weather, a new date is to be agreed by both VIDEO RAMS LONDON & the client. All deposit fees due to bad weather are non-refundable.
• If cancellation/postponement is initiated by any other external factors, a new date is to be agreed by both VIDEO RAMS LONDON & the client. All deposit fees due to external postponements are non-refundable.

CLIENT RESPONSIBILITIES

Is it the responsibility of the client to inform and notify all employees, contractors and any other relevant personnel that filming will be taking place and that their face may be featured within the final delivery of the content. It is advised by VIDEO RAMS LONDON that the client internally issues consent forms to all personnel to sign and return back to the client before filming commences on the agreed date between VIDEO RAMS LONDON & the client.

QUALITY

The videography schedule and selected methodology are designed to accomplish the goals and wished of the client. Both VIDEO RAMS LONDON & the client agree that positive cooperation and punctuality are therefore essential in order to deliver the best product possible. The quality of the content delivered to the client is at the discretion of VIDEO RAMS LONDON.

CHANGES IN SPECIFICATIONS

The client is allocated with unlimited revisions of the content before the final draft is delivered by VIDEO RAMS LONDON. For any further revisions after delivery, additional fees may be applied at the discretion of VIDEO RAMS LONDON.

 INSURANCE COVERAGE

VIDEO RAMS LONDON employees to be covered under the insurance policies of the client when working on the contracted works.

ASSUMPTION OF RISK

Client assumes full risk of loss or damage to or arising from materials furnished by Client and warrants that said materials are adequately insured against such loss, damage, or liability.

AUDIO LICENSING & DISTRIBUTION RIGHTS

All music used within the video & media production created by VIDEO RAMS LONDON is from the Audiio.com database. VIDEO RAMS LONDON holds a Lifetime Music Membership through Audiio.com providing access to every song on the platform with unlimited downloads for VIDEO RAMS LONDON and its Clients up to 100 employees in size.

This license grants perpetual use of a song in a video or media production project to the licence holder or license holder’s Client according to the terms of use at Audiio.com/terms. This license does not include distribution rights for TV broadcast, OTT streaming platforms, SVOD & Theatrical releases.

If the licence holder or end client for a video or media production project is larger than 100 employees, you will need to contact the Audiio Sales Team at enterprise@audiio.com to upgrade this license usage.

STORAGE OF IMAGES

VIDEO RAMS LONDON stores the client's content for 1 year.

GENERAL INFORMATION

• Visual representations are to be used as a tool to support written legal H&S documentation, Risk Assessments & Method Statements and should not be used to replace them entirely.

APPLICABLE LAW

This agreement shall be governed by the laws of England & Wales.
